1. Scope of Services
Quill Harbor LLC provides ebook production, website development, and marketing services as described at quillharbor.us and in individual client proposals/SOWs. Specific deliverables, timelines, and pricing are confirmed in writing before work begins.
2. Client Responsibilities
Clients are responsible for providing content, materials, feedback, and approvals in a timely manner, and for holding rights to any content or images they supply. Delays caused by late client feedback may extend project timelines.
3. Intellectual Property
Upon final payment, ownership of custom deliverables (formatted files, website code, designed assets) transfers to the client, except third-party licensed assets (stock photos, fonts, plugins), which remain subject to their original license terms. Quill Harbor may display completed work in its portfolio unless the client requests otherwise in writing.
4. Payment Terms
See the Refund & Cancellation Policy for terms specific to each service line. Payments more than 15 days overdue may result in a pause of active work until resolved.
5. Limitation of Liability
Quill Harbor’s total liability for any claim related to services provided is limited to the amount paid for that specific service. Quill Harbor is not liable for third-party platform issues outside its direct control (e.g., Amazon KDP policy changes, hosting outages, ad platform account actions).
6. Termination
Either party may terminate a project per the terms in the Refund & Cancellation Policy. Upon termination, the client receives all work product paid for up to that point.
7. Governing Law
This agreement is governed by the laws of the State of Illinois, without regard to conflict of law principles.
8. Changes to Terms
Quill Harbor may update these terms; changes apply to new projects going forward and do not retroactively alter signed agreements.
